Terms of Service

1. Acceptance of terms

By accessing or using the services provided by Project Helena, Inc. (“Project Helena”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of services

Project Helena provides open-source observability tools including uptime monitoring (Warden), cost intelligence (Recon), and related developer tools. We offer both self-hosted and managed versions of our software.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to:

• Use our services to violate any applicable law or regulation
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Use our services to transmit malware, spam, or other harmful content
• Reverse-engineer our proprietary services (open-source components are governed by their respective licenses)

5. Open-source software

Our open-source products are licensed under the GNU Affero General Public License (AGPL). Your use of open-source components is governed by the applicable open-source license, which takes precedence over these terms where there is a conflict.

6. Managed services

If you use our managed (hosted) services, additional terms may apply, including service level agreements, data processing agreements, and usage limits. These will be provided separately upon sign-up.

7. Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We reserve the right to change pricing with 30 days' notice.

8. Intellectual property

The Project Helena name, logo, and branding are trademarks of Project Helena, Inc. You may not use our trademarks without prior written permission. Content you create or upload through our services remains yours.

9. Disclaimer of warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Project Helena shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of our services.

11. Termination

We may suspend or terminate your access to our services at any time for violation of these terms. You may terminate your account at any time by contacting us. Upon termination, your right to use our managed services ceases immediately.

12. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page with a revised “last updated” date. Continued use of our services after changes constitutes acceptance.

13. Governing law

These terms shall be governed by and construed in accordance with the laws of Colombia, without regard to conflict of law principles.
